Service Agreement Framework

These Terms of Service ("Agreement") govern your access and utilization of NanoEdge International Ltd's ("Company") digital platforms and associated services ("Services"). By engaging with our Services, you affirm acceptance of this binding contractual framework and consent to jurisdiction-specific dispute resolution protocols.

User Obligations Matrix

Account Management

  • Maintain current PII with real-time updates
  • Implement MFA authentication protocols
  • Immediate breach notification (<24hr SLA)

Security Requirements

  • Minimum 12-character credential standards
  • Session timeout enforcement (15min inactive)
  • Device fingerprinting acknowledgment

Prohibited Conduct

Strictly prohibited activities include but are not limited to:

Technical Restrictions

  • Reverse engineering attempts
  • Botnet participation
  • API abuse/rate limit violations

Legal Compliance

  • CFAA-violating activities
  • Sanctioned territory access
  • Dark pattern implementation

Financial Terms

All sales final except where prohibited by local consumer law. Chargebacks will result in immediate service revocation and credit reporting.

Intellectual Capital

The Company retains exclusive rights to:

  • Platform source code and architecture
  • Proprietary algorithms and ML models
  • Branding elements and trade dress

Limited license granted for personal, non-commercial use under Creative Commons BY-NC-ND 4.0.

Termination Protocol

We reserve unilateral termination rights for:

  • ATO attempts
  • EULA violations
  • Regulatory non-compliance

Post-termination data retention follows GDPR Article 17 requirements.

Liability Framework

Company liability capped at lesser of:

  • 12-month service fees paid
  • Maximum permitted by governing law

Exclusions apply for:

  • Gross negligence
  • Willful misconduct
  • Statutory consumer rights

Jurisdictional Governance

Dispute resolution hierarchy:

  1. Mediation (AAA Commercial Rules)
  2. Binding arbitration (JAMS Streamlined)
  3. Delaware Court of Chancery

Governing Law: Delaware General Corporation Law

Agreement Evolution

Amendment protocol:

  • 30-day advance notice via registered email
  • Opt-out period: 15 days post-notice
  • Continued use constitutes acceptance
